El dinero, y quién puede moverlo.

Seis documentos que la junta revisa cada mes, dos firmas en cualquier retiro de reservas, y una lista cerrada de lo que el dinero de reserva puede pagar. Tomarlo prestado está permitido — y viene con reloj.

Mensual, no anual

El § 5500 enumera seis cosas que la junta revisará con periodicidad mensual: conciliaciones de las cuentas operativa y de reserva, ingresos y gastos reales frente al presupuesto, los últimos extractos de las entidades financieras, un estado de ingresos y gastos, y el registro de cheques, el libro mayor y los informes de cuotas vencidas por cobrar.

Ese último punto es donde un problema de cobro se ve antes de convertirse en gravamen. Y la cadencia es mensual aunque la junta se reúna trimestralmente — que es justo el hueco que vino a cerrar el § 5501 en 2018. La revisión puede hacerse fuera de una sesión, por cada director individualmente o por un subcomité del tesorero y al menos otro director, siempre que se ratifique en la sesión siguiente y esa ratificación conste en el acta. Hacer el trabajo no basta; el acta tiene que mostrarlo.

Dos firmas, y un fin cerrado

§ 5510(a): retirar dinero de una cuenta de reserva requiere dos firmas — dos directores, o un funcionario que no sea director junto a uno que sí lo sea. Un tesorero solo no puede mover fondos de reserva, diga lo que diga la ficha de firmas del banco.

La letra (b) es más estrecha de lo que parece al leerla. Los fondos de reserva pueden gastarse en la reparación, restauración, sustitución o mantenimiento de los componentes mayores para los que la reserva se creó — o en litigios relativos a esa reparación, restauración, sustitución o mantenimiento. La vía del litigio está atada a los mismos componentes. No es un presupuesto legal general.

Dos umbrales idénticos que obligan a personas distintas

El § 5502 exige aprobación previa y escrita de la junta para sacar más de lo menor entre $5.000 o el 5 por ciento del ingreso operativo estimado de las cuentas de reserva u operativa — $10.000 o el 5 por ciento en asociaciones de 51 intereses separados o más. Las mismas cifras aparecen en el § 5380(b)(6), que obliga al agente administrador. El § 5502(b) dice que se aplica además de cualquier otro requisito de esta parte: una regla para la asociación, otra para el agente, y cumplir una no cumple la otra.

Tomar prestado de las reservas viene con reloj

El § 5515 permite una transferencia temporal de reservas al fondo operativo general por necesidades de tesorería a corto plazo — pero la intención de considerarla debe figurar en el aviso de la sesión de junta del § 4920, y el aviso debe decir por qué hace falta, qué opciones de devolución hay y si puede plantearse una cuota especial.

Si la junta sigue adelante, emite una constancia escrita recogida en el acta. El dinero vuelve al fondo de reserva dentro de un año — la letra (d) solo admite demora tras el mismo aviso y con una constancia respaldada por documentación. Y la letra (e) cierra el círculo: la junta impondrá una cuota especial si eso es lo que hace falta para restituir el importe íntegro.

Cuando las reservas pagan un pleito

El § 5520 exige aviso general conforme al § 4045 de la decisión misma y de la disponibilidad de una contabilidad — y después una contabilidad de los gastos del litigio al menos trimestral, disponible para inspección en la oficina de la asociación. La revelación no es única al principio; se repite mientras dure el caso.

The review requirements of Section 5500 may be met when every individual member of the board, or a subcommittee of the board consisting of the treasurer and at least one other board member, reviews the documents and statements described in Section 5500 independent of a board meeting, so long as the review is ratified at the board meeting subsequent to the review and that ratification is reflected in the minutes of that meeting.

(a)Notwithstanding Section 5510, the board may authorize the temporary transfer of moneys from a reserve fund to the association’s general operating fund to meet short-term cashflow requirements or other expenses, if the board has provided notice of the intent to consider the transfer in a board meeting notice provided pursuant to Section 4920.
(b)The notice shall include the reasons the transfer is needed, some of the options for repayment, and whether a special assessment may be considered.
(c)If the board authorizes the transfer, the board shall issue a written finding, recorded in the board’s minutes, explaining the reasons that the transfer is needed, and describing when and how the moneys will be repaid to the reserve fund.
(d)The transferred funds shall be restored to the reserve fund within one year of the date of the initial transfer, except that the board may, after giving the same notice required for considering a transfer, and, upon making a finding supported by documentation that a temporary delay would be in the best interests of the common interest development, temporarily delay the restoration.
(e)The board shall exercise prudent fiscal management in maintaining the integrity of the reserve account, and shall, if necessary, levy a special assessment to recover the full amount of the expended funds within the time limits required by this section. This special assessment is subject to the limitation imposed by Section 5605. The board may, at its discretion, extend the date the payment on the special assessment is due. Any extension shall not prevent the board from pursuing any legal remedy to enforce the collection of an unpaid special assessment.

(a)When the decision is made to use reserve funds or to temporarily transfer moneys from the reserve fund to pay for litigation pursuant to subdivision (b) of Section 5510, the association shall provide general notice pursuant to Section 4045 of that decision, and of the availability of an accounting of those expenses.
(b)Unless the governing documents impose more stringent standards, the association shall make an accounting of expenses related to the litigation on at least a quarterly basis. The accounting shall be made available for inspection by members of the association at the association’s office.
