Cómo llega el aviso al miembro

Todo plazo electoral es un plazo de entrega. La ley dice que un aviso debe darse cierto número de días antes de algo, y define en otro sitio qué significa darlo — individual o generalmente, a qué dirección y con qué prueba. En esas definiciones es donde las elecciones fallan en silencio.

Dos clases de aviso, y la ley entiende cosas distintas por cada una

El aviso individual va dirigido a un miembro. El aviso general se da al conjunto de los miembros. Cada plazo electoral nombra uno u otro, y sustituir el caro por el barato es un defecto aunque de hecho todo el mundo se haya enterado.

(a)If a provision of this act requires that a document be delivered to an association, the document shall be delivered to the person designated in the annual policy statement, prepared pursuant to Section 5310, to receive documents on behalf of the association. If no person has been designated to receive documents, the document shall be delivered to the president or secretary of the association.
(b)A document delivered pursuant to this section may be delivered by any of the following methods:
(b)(1)By email, facsimile, or other electronic means, if the association has assented to that method of delivery.
(b)(2)By personal delivery, if the association has assented to that method of delivery. If the association accepts a document by personal delivery it shall provide a written receipt acknowledging delivery of the document.
(b)(3)By first-class mail, postage prepaid, registered or certified mail, express mail, or overnight delivery by an express service center.

(a)(1)If a provision of this act requires an association to deliver a document by “individual delivery” or “individual notice,” the association shall deliver that document in accordance with the preferred delivery method specified by the member pursuant to Section 4041.
(a)(2)If the member has not provided a valid delivery method pursuant to Section 4041, the association shall deliver the document by first-class mail, registered or certified mail, express mail, or overnight delivery by an express service carrier addressed to the recipient at the address last shown on the books of the association.
(b)Upon receipt of a request by a member identifying a secondary email or mailing address for delivery of notices, pursuant to Section 5260, the association shall deliver an additional copy of both of the following to the secondary address identified in that request:
(b)(1)The documents to be delivered to the member pursuant to Article 7 (commencing with Section 5300) of Chapter 6.
(b)(2)The documents to be delivered to the member pursuant to Article 2 (commencing with Section 5650) of Chapter 8 and Section 5710.
(c)For the purposes of this section, an unrecorded provision of the governing documents providing for a particular method of delivery does not constitute agreement by a member to that method of delivery.
(d)This section shall become operative on January 1, 2023.

(a)A member shall, on an annual basis, provide written notice to the association of all of the following:
(a)(1)The member’s preferred delivery method for receiving notices from the association, which shall include the option of receiving notices at one or both of the following:
(a)(1)(A)A mailing address.
(a)(1)(B)A valid email address.
(a)(2)An alternate or secondary delivery method for receiving notices from the association, which shall include the option to receive notices at one or both of the following:
(a)(2)(A)A mailing address.
(a)(2)(B)A valid email address.
(a)(3)The name, mailing address, and, if available, valid email address of the owner’s legal representative, if any, including any person with power of attorney or other person who can be contacted in the event of the member’s extended absence from the separate interest.
(a)(4)Whether the separate interest is owner-occupied, is rented out, if the parcel is developed but vacant, or if the parcel is undeveloped land.
(b)(1)The association shall solicit the annual notices described in subdivision (a) of each owner and, at least 30 days before making its own required disclosure under Sections 5300 and 5310, shall enter the data into its books and records.
(b)(2)The association shall include in the solicitation required by paragraph (1) both of the following:
(b)(2)(A)Notification that the member does not have to provide an email address to the association.
(b)(2)(B)A simple method for the member to inform the association in writing that the member wishes to change their preferred delivery method for receiving notices from the association.
(c)If a member fails to provide the notices set forth in subdivision (a), the last mailing address provided in writing by the member or, if none, the property address shall be deemed to be the address to which notices are to be delivered.
(d)(1)To the extent that interests regulated in Chapter 2 (commencing with Section 11210) of Part 2 of Division 4 of the Business and Professions Code are part of a mixed-use project where those interests comprise a portion of a common interest development, the association, as defined in Section 4080, shall be deemed compliant with this section if, at least once annually, it obtains from the time-share plan association a copy of the list described in subdivision (e) of Section 11273 of the Business and Professions Code, and enters the data into its books and records.
(d)(2)Notwithstanding subdivision (e) of Section 11273 of the Business and Professions Code, the time-share plan association shall provide the list required by paragraph (1) to the association at least annually for this purpose.
(e)For the purposes of this section, a valid email address is one that, after a notice is sent, does not result in a bounce or other error notification indicating failure of the message. If the association delivers a notice to a member’s email address and finds that the email address provided is no longer valid, the association shall resend the notice to a mailing or email address identified by the member pursuant to Section 4040.

(a)(4)If the association broadcasts television programming for the purpose of distributing information on association business to its members, by inclusion in the programming.

(b)Notwithstanding subdivision (a), if a member requests to receive general notices by individual delivery, all general notices to that member, given under this section, shall be delivered pursuant to Section 4040. La entrega individual sigue al miembro, no a la asociación

El § 4040 lo reescribió SB 392 y pasó a ser operativo en 2023. El orden que fija es estricto: la asociación entrega de acuerdo con el método de entrega preferido especificado por el miembro bajo el § 4041. Solo si el miembro no ha dado un método válido recurre la asociación al correo de primera clase, certificado, registrado, exprés o de un día para otro, a la última dirección que consten en sus libros.

El correo electrónico, por tanto, no es algo que la asociación pueda elegir. Es algo que el miembro elige. La asociación que envía boletas por correo electrónico a todo el que tenga una dirección en ficha, porque tenerla pareció permiso, no ha entregado aviso individual a los miembros que nunca lo eligieron.

Una cláusula de los documentos rectores no equivale a la elección del miembro

El § 4040(c) lo dice directamente: una cláusula no inscrita de los documentos rectores que establezca un método concreto de entrega no constituye acuerdo del miembro con ese método. Una regla que la junta adoptó diciendo que los avisos se enviarán por correo electrónico no es consentimiento, y no se convierte en consentimiento por adoptarla con más énfasis.

La solicitud anual, y por qué los registros están desactualizados

El § 4041 pone sobre el miembro el deber de decirle a la asociación, una vez al año, su método de entrega preferido, un método secundario, los datos de contacto de su representante legal si lo hay, y si la unidad está ocupada por el propietario, alquilada, vacía o es suelo sin desarrollar.

También pone un deber sobre la asociación: deberá solicitar esos avisos y volcar los datos en sus libros al menos 30 días antes de sus propias declaraciones anuales. La solicitud tiene que decirle al miembro que no está obligado a dar ninguna dirección de correo electrónico, y ofrecerle una forma sencilla de cambiar la preferencia por escrito.

Cuando no vuelve ningún aviso, el § 4041(c) fija el recurso: la última dirección postal que el miembro diera por escrito o, si no hay ninguna, la dirección de la propiedad. Que es la explicación honesta de por qué una parte del padrón de toda asociación está desactualizada — la ley lo anticipa y da un valor por defecto, no un remedio.

El reparto de canales ocurre aquí, antes de que nadie elija método de voto

El miembro sin correo electrónico en ficha recibe boleta en papel — no como excepción que resuelve el administrador, sino como resultado de los §§ 4040 y 4041 funcionando con normalidad. Ese grupo rara vez es pequeño y nunca está repartido al azar: se inclina hacia los propietarios con los datos menos al día, que son los mismos cuyas boletas llegan tarde o vuelven sin entregar. Planificar para ellos es planificar una elección híbrida.

El aviso general tiene cinco formas permitidas

El § 4045 permite dar aviso general por cualquier método válido para la entrega individual, o incluyéndolo en una factura o un boletín, o colocándolo en un lugar físico destacado, o a través de la programación de televisión de la asociación, o publicándolo en su sitio web.

Las dos últimas llevan una condición fácil de pasar por alto: el lugar — físico o en línea — tiene que haber sido designado para la publicación de avisos generales en la declaración anual de políticas del § 5310. La asociación que publica un aviso electoral en un sitio web que nunca designó no ha dado aviso general, por visible que fuera la publicación.

Y cualquier miembro puede pedir que todo le llegue individualmente

Bajo el § 4045(b), el miembro que lo pida recibe todos los avisos generales de forma individual. La opción tiene que describirse en la declaración anual de políticas. Así que las dos categorías no son grupos fijos: la lista del aviso general tiene una composición que cambia, y la asociación que publica un aviso sin entregárselo además individualmente a esos miembros los ha dejado fuera — el plazo se cumplió para todos los demás.

La entrega en el otro sentido

El § 4035 cubre los documentos que van al revés: del miembro a la asociación. Correo de primera clase, registrado o certificado, exprés o de un día para otro, a la persona designada en la declaración anual de políticas — o, si no hay designación, al presidente o al secretario. El correo electrónico, el fax u otros medios electrónicos valen cuando la asociación ha consentido en ellos.

Esto importa porque las solicitudes del miembro que surten efecto jurídico tienen que llegar, y el § 5260 exige que siete de ellas lleguen por escrito con arreglo a este artículo — entre ellas la salida del voto electrónico. Una solicitud enviada por una vía que la asociación nunca designó no se ha entregado, y el corte de 90 días del § 5105 no se detiene por ella.

Qué tiene que mostrar el expediente

  1. Qué aviso era cuál. General e individual son obligaciones distintas con pruebas distintas; un registro que anota «aviso enviado» no puede responder a la pregunta que se hace.
  2. Por miembro, para el aviso individual: el método en ficha bajo el § 4041, qué se envió, a dónde, en qué fecha, y qué prueba hay de que salió.
  3. Para el aviso general: cuál de los cinco métodos se usó y — si fue una publicación — que el lugar estaba designado en la declaración anual de políticas entonces vigente.
  4. Las solicitudes que cambiaron algo de eso, conservadas tal como las envió el miembro, con sus fechas de llegada. Véase el § 5260.
  5. El padrón tal como estaba en la fecha de corte, ya que el recurso del § 4041(c) significa que la dirección usada puede no ser ni la que el miembro elegiría ni la que la asociación preferiría.
